The Gloster Digital Group Public Limited Company (company registration number: 01-10-143270; registered office: 1038 Budapest, Fürdő u. 2.; hereinafter: Company, Gloster) hereby informs investors of the following in accordance with the relevant legislation, in particular Act CXX of 2001 on the Capital Market ("Tpt."), Decree 24/2008. (VIII. 15.) PM on the detailed rules of disclosure obligations relating to publicly traded securities, and the General Business Rules of the Budapest Stock Exchange, hereby informs investors of the following.

In its extraordinary announcement published on June 9, 2023, the Company reported that it had entered into an acquisition agreement with P92 IT Solutions Kft., currently known as Gloster-P92 Informatikai Kft. (registered office: 1038 Budapest, Fürdő utca 2., company registration number: 01-09-307674, hereinafter: P92) (the former Extraordinary information: https://gloster.hu/uploads/befektetoknek/kozzetetel/rendkivuli_tajekoztatasok/27018-Rendkivuli-tajekoztatas---A-New-York-i-Sony-Music-szoftverbeszallitojaval-bovul-a-Gloster-Csoport.pdf ) and, following the closing, the Company will acquire a 94% stake in P92.

The Company hereby informs its esteemed investors that the aforementioned acquisition agreement was concluded today, July 9, 2025.
