Extraordinary information - On MNB Decision H-JÉ-III-105/2025
Gloster Digital Group Publicly Public Limited Company (company registration no: 01-10-143270; registered office: 1038 Budapest, Fürdő u. 2.) informs the following to the Honoured Investors pursuant to the applicable laws, in particular Act CXX of 2001 on Capital Markets (“Act”) and the General Business Rules of the Budapest Stock Exchange.
In the framework of the continuous supervision of the issuer, the Magyar Nemzeti Bank (registered office: 1054 Budapest, Szabadság tér 8-9. 6., Budapest, 22.12.2022; hereinafter referred to as “MNB”), dated 23 June 2025 and sent to the Issuer on 24 June 2025 via the MNB's ERA system, issued Resolution No. H-JÉ-III-105/2025 as follows:
"The MNB warns the Issuer to comply at all times in the future with its obligation to provide extraordinary information in accordance with the relevant legislation, in the context of which it must inform the public without delay, but no later than within one working day, of any information directly or indirectly affecting the value or yield of the security or the assessment of the Issuer.
The MNB reminds the Issuer that it is obliged to publish the number, the operative part and the date of publication of this Decision immediately after its publication, but within one working day at the latest, in accordance with the rules on the extraordinary information requirements applicable to the Issuer.
The MNB draws the Issuer's attention to the fact that if it fails to comply with the obligations set out in this Decision, or fails to comply fully or in a timely manner, the MNB may take additional measures provided for by law, including the imposition of a supervisory fine.
No procedural costs were incurred in establishing the facts on which the decision was based.
There is no right of appeal against the decision, however, anyone whose rights or legitimate interests are directly affected by the administrative action may bring an administrative action against the decision by filing a statement of claim with the Budapest Court of Justice within 30 (thirty) days of the notification, claiming that the decision is contrary to law.
The application must be submitted to the Budapest Court of Justice at the MNB using the form submission support service. The filing of an application does not have suspensory effect on the validity of the decision, but a person whose rights or legitimate interests are adversely affected by the administrative act or the maintenance of the situation created by it may apply for immediate legal protection in order to prevent the imminent threat of harm, to obtain a temporary settlement of the legal situation which has become contentious or to maintain the situation giving rise to the dispute unchanged.
The court shall as a general rule out of court. The plaintiff requests a hearing in the application may ask for the application to be lodged. Failure to request a hearing is considered to be a justification is not admissible."
