On the closing of a previously concluded acquisition transaction

Gloster Digital Group Public Limited Company (company registration number: 01-10-143270; registered seat: H-1038 Budapest, Fürdő u. 2.; hereinafter referred to as the “Company” or “Gloster”) hereby informs its esteemed Investors of the following, in accordance with the applicable laws and regulations, in particular Act CXX of 2001 on the Capital Market (“Tpt.”), Decree No. 24/2008 (VIII.15.) of the Minister of Finance on the detailed rules of information obligations relating to publicly offered securities, and the General Business Rules of the Budapest Stock Exchange.

In its Extraordinary Information published on 9 June 2023, the Company reported that the Company entered into an acquisition agreement with the owners of P92 IT Solutions Kft., now known as Gloster-P92 Informatikai Kft., with registered office at Fürdő utca 2, 1038 Budapest, Hungary, company registration number 01-09-307674, hereinafter referred to as "P92" (the previous Extraordinary Information: https://gloster.hu/uploads/befektetoknek/kozzetetel/rendkivuli_tajekoztatasok/27018-Rendkivuli-tajekoztatas---A-New-York-i-Sony-Music-szoftverbeszallitojaval-bovul-a-Gloster-Csoport.pdf ) and following closing, the Company will acquire a 94% stake in P92.

The Company hereby informs the Honourable Investors that the closing of the acquisition agreement has taken place today, on 9 July 2025.
